Chapter 1 General Provisions
Article 1The name of this association is TYS Industrial Association (hereinafter referred to as "the Association").
Article 2The purpose of this association:
(one)This association is a legally established, non-profit social organization.
(two)Coordinate and handle member affairs, seek common benefits, and safeguard the legitimate rights and interests of members.
(three)To compile and analyze members' important opinions and major issues, coordinate and report to the competent authorities, so as to strengthen the foundation of mutual assistance and trust.
(Four)Strengthen cooperation among industry, government, academia, research, and training institutions; offer professional courses to enhance workplace and functional competitiveness; cultivate the talent needed by enterprises; and improve industrial competitiveness.
(five)Facilitate mutual visits and exchanges between members and other organizations or companies, and serve as a bridge between members and the government.
(six)By leveraging local resources, giving back to the community, and promoting the economic development of community manufacturers.
(seven)Regularly hold specialized lectures to help manufacturers cultivate professional talent.
(eight)Promote the establishment of industrial zones in Kamioka Ward and the creation of specialized industrial zones based on their characteristics.
Article 3The organization is based in the administrative region of Taichung City.
Article 4The association's headquarters are located in Taichung City.
Article 5The tasks of this association are as follows:
one,Assist in handling public affairs for members and planning and promoting welfare measures.
two,Provide venues to assist manufacturers in strengthening personnel training and workplace functions.
three,We will gather feedback from manufacturers and establish an official communication platform to protect their rights.
Four,We offer corporate management courses to help manufacturers establish the necessary management systems or certifications, such as ISO, CE, 5S, TPS, and other management systems.
five,We regularly hold lectures on finance, taxation, communication, and logical thinking training.
six,Organize seminars for company leaders in the Greater Taichung area and facilitate exchanges and procurement among manufacturers in various regions.
seven,We should strive to establish industrial zones to strengthen cooperation among industry, government, and academia.
eight,Edit and print the new quarterly magazine.
Nine,Other business matters relating to this industrial manufacturer.
Article 6The competent authority of this association is the Social Affairs Bureau of Taichung City Government. The purposes and undertakings of this association shall be subject to the guidance and supervision of the competent authorities of each relevant undertaking.
Chapter Two Members
Article 7Our members are divided into the following two categories:
one,Individual members: Anyone registered or employed in Taichung City, aged 20 or above with legal capacity, who agrees with the association's objectives, and submits a membership application form may apply to become an individual member.
two,Group members: Any organization or group registered with the government in this city that agrees with the purpose of this association and fills out a membership application form may apply to become a group member. The number of representatives that a group member may appoint shall be handled in accordance with the following provisions.
three,Sponsored Members: Any organization or group registered with the government within the city that agrees with the association's objectives and is approved for membership by the Yung Fa Association may apply to become a sponsored member. Sponsored members may appoint one representative to attend association activities, but these representatives cannot exercise voting rights. Representatives must be factory owners, managers, or current employees of the factory, and must be at least twenty years old.

Article 8If a member (or member representative) violates laws, the articles of association, or fails to comply with the resolutions of the general meeting of members, the board of directors may issue a warning or suspend their membership. If the violation seriously harms the organization, the general meeting of members may expel them from the organization.
Article 9A member shall be expelled from the membership if any of the following circumstances apply:
one,Those who have lost their membership.
two,Those who are expelled by resolution of the members (or members' representatives).
Article 10Members may submit a written statement explaining their reasons for withdrawing from the association, but must notify the member one month in advance. Members who fail to pay membership dues shall not enjoy any membership rights, and those who fail to pay dues for two consecutive years shall be deemed to have automatically withdrawn from the association. Members who have been expelled, withdrawn, or suspended from the association and wish to apply for reinstatement or restoration of their rights shall, unless they have a legitimate reason, pay all outstanding membership dues.
Article 11Fees already paid by members who withdraw from or leave the membership will not be refunded.
Article 12Members (or their representatives) have the right to vote, elect, be elected, and recall. Each member (or representative) has one right. Sponsoring members do not have the right to vote, elect, be elected, or be recalled.
Article 13Members have the obligation to abide by the association's charter, resolutions, and pay membership dues.
Chapter Three: Organization and Authority
Article 14The highest authority of this association is the General Meeting of Members (or Representatives), the executive body is the Board of Directors, and the Board of Directors exercises its powers during the recess of the General Meeting of Members; the supervisory board is the supervisory body.
Article 15The powers of the General Meeting of Members (or Member Representatives) are as follows:
one,Electing and removing directors and supervisors.
two,Those who review the budget and final accounts of the funds shall ratify the income and expenditure of temporary membership fees.
three,To review major matters submitted by the Board of Directors, the Supervisory Board, and the Association.
Four,Disciplinary action against a member.
five,Assist in organizing visits and tours.
six,To establish and amend the articles of association.
seven,Resolutions on other major matters relating to the rights and obligations of members.
eight,The annual work plan, report, budget, and final accounts were discussed and approved.
Article 16The association shall have a council of nineteen members and a board of supervisors of five members, both elected by the general meeting of members (or their representatives) through a secret ballot. When electing the council and supervisors, five alternate council members and one alternate supervisor shall also be elected. Vacancies shall be filled in order of merit until the term of office of the previous council is completed. The order of election for council members, supervisors, alternate council members, and alternate supervisors shall be determined by the number of votes received; in case of a tie, the winner shall be determined by drawing lots.
Article 17The powers of the council are as follows:
one,To implement the resolutions of the General Meeting of Members.
two,Preliminary review of revenue and expenditure, budget, and final accounts.
three,Review the income and expenditure of temporary membership fees.
Four,Election and removal of standing directors.
five,Electing and removing the chairman of the board.
six,Handling cultural and recreational activities and welfare matters.
seven,Assist in safeguarding the legitimate rights and interests of members
eight,To perform the duties stipulated by laws and regulations.
Nine,Other matters to be carried out.
Article 18The council shall have six standing council members, elected by the council through a secret ballot. One of the standing council members shall be elected as the president. The president shall oversee and manage the association's internal affairs, represent the association externally, and serve as the chairperson of the members' (or members' representatives') general meeting and the council meeting. The president shall attend meetings as needed. If the president is unable to perform their duties, they shall designate one standing council member to act on their behalf. If no one can be designated or no one can be designated, the standing council members shall elect one person to act on their behalf. Vacancies for president or standing council member shall be filled within one month.
Article 19The powers of the supervisory board are as follows:
one,The Supervisory Board implements the resolutions of the General Meeting.
two,Check the association's monthly financial income and expenditure.
three,Monitor the implementation of various meeting resolutions by the association's staff.
Four,To assess the work performance of the association's staff and to provide a reference for recommending rewards and punishments to the chairman.
five,To review the association's year-end financial statements.
six,To oversee other important matters of this association.
Article 20The board of supervisors shall have one standing supervisor who oversees daily affairs and is elected by the board of supervisors through a secret ballot.
Article 21The term of office for directors and supervisors is two years, with the possibility of re-election. The chairman of the board may only serve one term. The term of office for directors and supervisors shall be calculated from the date of the first meeting of the current board of directors.
Article 22Any director or supervisor who falls under any of the following circumstances shall be immediately dismissed, and the vacancy shall be filled by an alternate director or alternate supervisor in that order:
1.Loss of membership (member representative) status.
2.Those who resign for any reason, subject to a resolution passed by the board of directors or the board of supervisors.
3.Those who are dismissed, removed from office, or removed from their posts in accordance with the law.
4.Those who violate laws and regulations or engage in malpractice in their official duties, and whose removal is legally approved by the members' representative assembly and submitted to the competent authority for approval.
5.Those who violate laws and regulations, exceed their authority, obstruct public interests, or neglect the affairs of the association, and are therefore dismissed from their posts by the competent authority in accordance with the law.
Article 23This association may establish several committees as needed for its operations. It may also appoint a general manager, deputy general manager, executive secretary, and several staff members to handle the association's affairs on the orders of the chairman and to receive salaries and allowances. The aforementioned staff members may not be directors or supervisors. The powers, responsibilities, and hierarchical division of duties among staff members shall be separately determined by the board of directors.
Article 24The Association may establish various committees, groups or other internal working organizations. Their organizational rules shall be drafted and approved by the Board of Directors and then submitted to the competent authority for approval before implementation. The same applies to any changes.
Article 25The council may appoint one honorary chairman and several advisors, whose terms of office shall be the same as those of the current council members and supervisors.
Chapter Four Meeting
Article 26
one,The General Meeting of Members of this Association consists of two types: regular meetings and extraordinary meetings. Regular meetings are held once a year and are convened by the Chairman of the Board. Extraordinary meetings are convened when the Board of Directors deems it necessary, or when more than one-fifth of the member representatives request it, or when the Board of Directors requests it.
two,A meeting should be convened 15 days in advance, but this restriction does not apply to emergency meetings convened in case of emergency, provided that the notice is delivered and the person is able to attend in time; and all such meetings should be reported to the competent authority for guidance and supervision.
Article 27When a member (or member representative) is unable to attend the general meeting in person, he/she may authorize another member (or member representative) to act on his/her behalf in writing. Each member (or member representative) may only act on behalf of one person.
Article 28Resolutions of the general meeting of members (or their representatives) shall be passed with the consent of more than half of the members (or their representatives) present, or with a majority or more of those present. However, resolutions on the following matters shall be passed with the consent of more than two-thirds of those present.one,The drafting and amendment of the articles of association.
two,Expulsion of a member (or member representative).
three,The removal of directors and supervisors.
Four,Disposition of property.
five,The dissolution of the group.
six,Other significant matters relating to the rights and obligations of members. After the association completes its corporate registration, amendments to the articles of association shall be made with the consent of more than three-quarters of those present or with the written consent of more than two-thirds of all members. The association may be dissolved at any time with the approval of more than two-thirds of all members.
Article 29The Board of Directors shall meet every two months, the Supervisory Board every two months, and the Standing Committee every two months. Joint meetings or extraordinary meetings may be convened as necessary. Except for extraordinary meetings, written notice shall be given seven days in advance of the convening of the aforementioned meetings. Resolutions of the meetings shall be passed with the consent of more than half of the directors and supervisors present, or more than half or a greater majority of those present.
Article 30Directors should attend board meetings, and supervisors should attend supervisory meetings. The board of directors and the board of supervisors may not appoint delegates to attend. A director or supervisor who is absent from the board of directors or the board of supervisors twice without a valid reason shall be deemed to have resigned.
Chapter Five: Funding and Accounting
Article 31The sources of funding for this association are as follows:
one,Membership fee: This association does not charge membership fees.
two,Annual membership fee: The calculation standard is based on the capital registered by the member company with the Department of Commerce, Ministry of Economic Affairs, and is divided into four levels in accordance with Article 7, Paragraph 2 of these Articles of Association. However, any increase or decrease in capital shall be notified to the Association in writing, and the annual membership fee shall be adjusted accordingly.three,Members and advisors made donations.

Article 32The accounting year of this association is based on the previous year, from January 1st to December 31st of each year.
Article 33Two months before the start of each fiscal year, the Board of Directors prepares an annual work plan, a budget statement, and an employee compensation statement, which are then submitted to the General Meeting of Members for approval (if the General Meeting of Members cannot be convened as scheduled, it shall first be submitted to the Joint Meeting of Directors and Supervisors for approval). These documents are then submitted to the competent authority for record-keeping before the start of the fiscal year. Within two months after the end of the fiscal year, the Board of Directors prepares an annual work report, a final statement of income and expenditure, a cash disbursement statement, a balance sheet, an inventory of assets, and a fund income and expenditure statement. These documents are submitted to the Supervisory Board for review, and an audit opinion is prepared and returned to the Board of Directors for approval. These documents are then submitted to the General Meeting of Members for approval and to the competent authority for record-keeping before the end of March (if the General Meeting of Members cannot be convened as scheduled, it shall first be submitted to the competent authority).
Article 34Upon dissolution of this association, the remaining assets shall belong to the local self-governing body or the agency or organization designated by the competent authority.
Chapter Six Supplementary Provisions
Article 35Matters not covered in these Articles of Association shall be handled in accordance with relevant laws and regulations.
Article 36This charter shall come into effect after being adopted by the members' (members' representatives') meeting and filed with the competent authority, and the same applies to any amendments thereto.
Article 37The detailed rules for handling affairs and the service regulations for association staff will be stipulated separately.
